Terms of Service for Prosomio AI Clinical Scenario Simulator

Welcome to Prosomio ("we", "our" or "us"), an AI-powered clinical scenario simulator designed to help medical professionals practise real-life patient interactions through realistic scenarios, AI-powered feedback, and progress tracking (the "Service"). By accessing or using Prosomio, you ("you" or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.
1. Acceptance of Terms
By creating an account, accessing, or using the Service, you confirm that you are at least 18 years old, have the legal capacity to enter into these Terms, and agree to comply with these Terms and all applicable laws and regulations. If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.
2. Description of the Service
Prosomio is a cloud-based platform that allows medical professionals to practise clinical skills through:
- Realistic Scenarios: AI-powered patient simulations mimicking real-life medical conditions and responses.
- AI-Powered Feedback: Detailed feedback on diagnostic approaches and decision-making.
- Progress Tracking: Performance metrics and statistics to monitor improvement.
The Service is intended for educational and training purposes only and is not a substitute for professional medical advice, diagnosis, or treatment.
3. Account Registration and Responsibilities
a. Account Creation
To use the Service, you must create an account by providing accurate and complete information, including your name, email address, and professional credentials. You agree to keep your account information up to date.
b. Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at hello@prosomio.com if you suspect unauthorised use of your account.
c. Eligibility
The Service is intended for medical professionals or students in medical training programmes. You may not use the Service if you are not a qualified user or if your use violates any applicable laws or regulations.
4. Licence and Use of the Service
a. Licence
We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for personal, non-commercial purposes, subject to these Terms.
b. Permitted Use
You may use the Service to practise clinical scenarios, receive feedback, and track your progress as intended by the platform. You agree not to:
- Use the Service for any unlawful purpose or in violation of these Terms.
- Copy, modify, distribute, or reverse-engineer any part of the Service.
- Use the Service to provide medical advice or treatment to real patients.
- Share your account credentials with others or allow unauthorised access to the Service.
c. User-Generated Content
You retain ownership of any content you submit to the Service (e.g. responses to scenarios or notes). By submitting content, you grant us a worldwide, non-exclusive, royalty-free licence to use, store, and process such content to provide and improve the Service.
5. Plans and Payments
a. Plans
Certain features of the Service require the purchase of a paid plan. Plans are one-off purchases that give access for a fixed period of 1 month or 3 months, as stated at the time of purchase. Plans do not renew automatically: your access to paid features ends when the period ends, and you may buy a new plan at any time. Plan details, including pricing and features, are available at https://prosomio.com. We reserve the right to modify plans or pricing with reasonable notice; changes will not affect a plan you have already bought.
b. Payments
Payments are processed through a third-party payment processor. You agree to provide accurate payment information and authorise us to charge your chosen payment method for the applicable fees. All payments are one-off payments and are non-refundable unless otherwise stated.
c. Cancellation Rights for Digital Content
By making a purchase, you ask us to give you access to the Service (digital content) immediately, and you acknowledge that you will lose your statutory 14-day right to cancel once access begins. This does not affect your other statutory rights.
d. Cancellation
As plans do not renew automatically, there is nothing to cancel to stop future payments. You may stop using the Service at any time, but stopping early does not entitle you to a refund for any unused part of your access period, in line with sections 5(b) and 5(c). Your access to paid features will continue until the end of the period you purchased.
6. Intellectual Property
All content, software, and materials provided through the Service, including scenarios, feedback algorithms, and progress tracking tools, are owned by Prosomio or its licensors and are protected by intellectual property laws. You may not reproduce, distribute, or create derivative works from the Service without our prior written consent.
7. Termination
a. By You
You may stop using the Service and delete your account at any time.
b. By Us
We may suspend or terminate your access to the Service if you:
- Violate these Terms.
- Engage in conduct that harms the Service, other users, or our reputation.
- Fail to pay applicable fees.
Upon termination, your licence to use the Service ends, and you must cease all use of the Service. We may delete your account data, subject to our Privacy Policy.
8. Disclaimers
a. Educational Use Only
The Service is for educational and training purposes only. It is not intended to provide medical advice, diagnosis, or treatment. You should consult a qualified medical professional for real-world medical decisions.
b. No Warranty
The Service is provided "as is". To the extent permitted by law, we exclude all warranties, conditions and terms, whether express or implied, including any implied terms as to satisfactory quality, fitness for a particular purpose or non-infringement. We do not guarantee that the Service will be error-free, uninterrupted, or secure.
9. Limitation of Liability
To the fullest extent permitted by law, Prosomio and its affiliates, officers, directors, employees, and agents will not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Service, including loss of data, profits, or professional opportunities. Our total liability for any claim will not exceed the amount you paid for the Service in the 12 months prior to the claim. Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.
10. Indemnification
You agree to indemnify and hold harmless Prosomio and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, or expenses (including reasonable legal fees and costs) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.
11. Governing Law and Dispute Resolution
These Terms are governed by the law of England and Wales. Any disputes arising from these Terms or the Service will be subject to the jurisdiction of the courts of England and Wales.
12. Changes to These Terms
We may update these Terms from time to time to reflect changes in our practices or legal requirements. We will notify you of material changes by posting the updated Terms on our website or through the Service. Your continued use of the Service after such changes constitutes acceptance of the updated Terms.
